B2B Online Store – General Terms and Conditions
1. Contracting Parties and Scope
These general terms and conditions (hereinafter the “Terms”) shall apply to the contractual relationship between CRM‑Service Oy (Business ID 2132453‑0, hereinafter the “Service Provider”) and the company or other business entity purchasing services via its online store (hereinafter the “Customer”).
These Terms apply to all service orders placed via the Service Provider’s online store unless otherwise agreed in writing between the Parties.
The Service Provider does not sell services to consumers via its online store. These Terms apply exclusively to business‑to‑business (B2B) transactions.
2. Formation of the Contract
A contract between the Customer and the Service Provider is formed when the Customer has completed payment in the Service Provider’s online store and the payment has been successfully processed.
Orders placed by the Customer in the online store are binding.
3. Service Description and Delivery
Services are delivered electronically by activating the purchased functionality in the Customer’s user account.
The Service is available to the Customer immediately after the payment has been successfully processed, unless expressly stated otherwise in the online store or in the service description.
The detailed content of the Service is described in the service description available in the online store at any given time.
4. Prices and Payment Terms
Prices for the Services are stated in the online store. Prices are stated exclusive of value added tax (VAT), unless expressly stated otherwise.
The Service is paid by card payment. Payment is charged at the time of purchase. Payment processing is carried out by an external payment service provider.
The payment intermediary and payment service provider is Paytrail Oyj, which appears as the payee on the bank statement or card invoice and transfers the payment to the Service Provider.
5. Binding Effect and Cancellation Terms (B2B)
As this is a business‑to‑business (B2B) transaction, the statutory right of withdrawal under consumer protection legislation does not apply.
The order becomes binding once the Customer has completed the payment. The Customer accepts that the Service is delivered and activated immediately after payment has been processed.
An activated Service cannot be cancelled, and payments are non‑refundable.
6. Modification and Availability of the Service
The Service Provider reserves the right to develop, modify, or update the Service. The Service Provider aims to ensure uninterrupted availability of the Service but does not guarantee error‑free or uninterrupted operation.
The Service Provider has the right to interrupt the availability of the Service due to maintenance, updates, or other technical reasons.
7. Customer Responsibilities
The Customer is responsible for ensuring that the Service is suitable for its intended purpose. The Customer is responsible for the use of the Service and for ensuring that the Service is used in accordance with these Terms and applicable laws.
8. Errors and Complaints
Any errors or complaints relating to the Service must be reported to the Service Provider without undue delay.
Complaints and service‑related notices should primarily be submitted to the Service Provider’s contact person or to invoicing@crm-service.fi.
9. Limitation of Liability
The Service is provided “as is”.
The Service Provider shall not be liable for indirect or consequential damages, including but not limited to loss of revenue, loss of data, business interruption, or other comparable damages.
The Service Provider’s total liability towards the Customer shall in all cases be limited to the price paid by the Customer for the Service.
10. Intellectual Property Rights
All rights to the Service, including related software, content, and materials, remain the property of the Service Provider or its licensors.
The Customer is granted a limited, non‑exclusive, and non‑transferable right to use the Service for its own business purposes.
11. Processing of Personal Data
The Service Provider processes personal data in accordance with applicable data protection legislation. Further information on the processing of personal data is available in the Service Provider’s privacy policy.
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Finland.
Any disputes arising from these Terms or the Service shall primarily be resolved through negotiations. If no settlement is reached, disputes shall be resolved by the District Court of Central Finland.
13. Amendments to the Terms
The Service Provider reserves the right to amend these Terms. Amended Terms shall enter into force once published in the Service Provider’s online store.
14. Payment Service Provider
Paytrail Plc acts as a collecting payment service provider and is an authorized payment institution. Paytrail Plc will be shown as the recipient on your bank or credit card statement. Paytrail Plc will forward the payment to the merchant. For complaints, please contact the website where the payment was made.
